Tennessee Medical College to Lincoln Memorial University
This indenture, made this 14th day of May A.D. 1909, between Tennessee Medical College, a body politic and corporate under the laws of Tennessee, having its principal place of business at Knoxville, in Knox County, Tennessee, of the first part, and Lincoln Memorial University, a body politic and corporate under the laws of Tennessee, having its principal place of business near Cumberland Gap, in Claiborne County, Tennessee, of the second part,
Witnesseth, That the said party of the first part, for and in consideration of the sum of Fifty Thousand dollars, five thousand dollars whereof are in hand paid the receipt whereof is hereby acknowledged, and the remaining Forty-five Thousand to be paid as follows: twenty-five thousand dollars to be paid to the Directors of Maryville College, at Maryville, Tennessee, in discharge of their lien on the property herein conveyed, said lien being evidenced by two deeds of trust executed to Will A. McTeer as Trustee, by the party of the first part and registered in the Register’s office of said Knox County in Trust Deed Book #80, on pages 390-391 and 424-425, three thousand and five hundred dollars to be paid to the party of the first part, without interest, on or before November 1st, 1909; five thousand and five hundred dollars to be paid to the party of the first part, without interest, three years from the date hereof; five thousand and five hundred dollars to be paid to the party of the first part, without interest, four years from the date hereof; and the remainder, five thousand and five hundred dollars to be paid to the party of the first part, without interest, five years from the date hereof; and to secure which payments a specific lien is hereby retained on the property hereby conveyed,
Have granted, bargained, sold and conveyed, and do hereby grant, bargain, sell and convey, unto said party of the second part, all that certain tract or lot of land situated in the City of Knoxville, in said Knox County, bounded and described as follows:
on the north corner of Cleveland Place and Dameron Avenue, fronting two hundred and fifty feet on Cleveland Place, and extending back between parallel lines one hundred and ninety-five feet to the public alley, embracing the five (5) northern lots in Block “C,” No. 68, in Dameron’s Addition to said City of Knoxville, said lots being numbered consecutively 92, 93, 94, 95 and 96, as shown on the map of said addition, being the same tract or lot of land on which the Tennessee Medical College and the Lincoln Memorial Hospital are situated, with all the hereditaments and appurtenances thereto appertaining; and the party of the first part, also, hereby sells, transfers and conveys to the party of the second part, for the consideration aforesaid all the furniture, apparatus, medicines, outfits, goods and chattels, in said College and Hospital and used in the operation of the same; and also, all the certificates of stock of said Tennessee Medical College Corporation.
To Have and to Hold the said premises and property, real and personal to said party of the second part and its assigns forever.
And the said party of the first part hereby covenants with said party of the second part and its assigns that it is lawfully seized in fee of simple of the premises above conveyed, and has full power, authority and right to convey the same, and that said premises are free from all incumbrances [sic] except the said debt of twenty-five thousand dollars due to the Directors of Maryville College, as aforesaid, which debt the party of the second part hereby assumes, as aforesaid; and that it will forever warrant and defend the said premises, and the title thereto against the lawful claims of all persons whatsoever.
In Witness Whereof, the said party of the first part has hereto set its name and seal, and caused this indenture to be signed by its President and Treasurer on the day and year first above written. Interlined on page 1, between lines 20 & 21.

Before me W. B. Henderson a Notary Public of the State and County aforesaid personally appeared S. L. Jones President of Tennessee Medical College, and B. F. Young, the Treasurer of Tennessee Medical College, with both of whom I am personally acquainted, and who upon their oaths acknowledged themselves to be respectively the President and Treasurer of Tennessee Medical College authorized to execute the above instrument of the Tennessee Medical College, and that they as such President and Treasurer being authorized so to do, executed the foregoing instrument for the purposes therein contained by signing the name of Tennessee Medical College, the same being a corporation under the laws of Tennessee, by themselves in their said official capacity.

For the consideration set forth in the resolution and agreement for the purchase of Tennessee Medical College and all its property by the Lincoln Memorial University, adopted and signed May 5, 1909, we the undersigned, Professors of Tennessee Medical College hereby agree to continue to teach as heretofore, and to constitute the Faculty of said College, as incorporated into Lincoln Memorial University, without compensation for five years from May 5, 1909: Provided, that in the event the net profits of Tennessee Medical College and Lincoln Memorial Hospital shall exceed in any one year a sum sufficient to pay four percent on fifty thousand dollars, the residue for that year shall be applied in payment of the salaries of said Faculty as the Lincoln Memorial University may determine, during said five years.
